Terms and Conditions

1.1. You must be at least 18 years old and able to form a legally binding contract to use the Services. If you use the Services on behalf of a business, you represent that you are authorized to bind that business to these Terms, and "you" includes that business.

1.2. The Services are intended primarily for businesses purchasing food service and packaging supplies for commercial use.

1.3. To use the Services you must register an account and provide accurate, current, and complete information, including a valid email address and mobile phone number. You agree to keep this information up to date.

1.4. We verify accounts using a one time passcode sent by email or text message. You are responsible for maintaining the confidentiality of your account and for all activity that occurs under it. Notify us promptly at info@plaztigo.com of any unauthorized use.

1.5. We may refuse, suspend, or terminate any account at our discretion, including for inaccurate information, suspected fraud, abuse, or violation of these Terms.

2.1. Through the Services you can browse our product catalog, view pricing, place orders for delivery or pickup, track orders, make payments, manage your account, and access our in app assistant.

2.2. Subject to these Terms, Plaztigo grants you a limited, non exclusive, non transferable, revocable license to use the Services for your own internal business purposes. You may not copy, modify, distribute, reverse engineer, scrape, or create derivative works from the Services, or use them for any unlawful purpose.

2.3. Information provided by the in app assistant, including product suggestions and packaging guidance, is offered for convenience only and does not guarantee fitness for your specific use. You are responsible for confirming that any product meets your needs and applicable regulations.

3.1. Products are sold by the box or other stated unit. Product descriptions, images, specifications, dimensions, and case packs are provided for reference and may vary slightly from the items delivered.

3.2. Prices are stated in U.S. dollars and may change at any time without notice. Pricing shown to you may reflect account specific or negotiated pricing. The price that applies to an order is the price confirmed at the time we accept and process that order.

3.3. All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for all sales, use, and similar taxes, which will be added where required. If you are tax exempt, you must provide a valid exemption certificate before we can process orders without tax.

3.4. Product availability is not guaranteed. We may limit quantities, substitute comparable items with your consent, or cancel items that are unavailable.

4.1. Submitting an order through the Services is an offer to purchase. No order is binding on Plaztigo until we accept and process it. We may decline or cancel any order, in whole or in part, before or after acceptance.

4.2. After we prepare and verify your order, the final quantities and prices may be adjusted to reflect what is actually packed and shipped. We will reflect any such adjustments in your invoice and charge accordingly.

4.3. You are responsible for ordering correctly. It is your responsibility to select and order the correct products, quantities, sizes, and specifications for your needs before submitting an order. Plaztigo is not responsible for orders placed in error. Returns or exchanges requested because you ordered the wrong item, where the product is not defective and was not delivered in error, are subject to the restocking fee described in Section 8, and any delivery fees are non refundable.

4.4. We may contact you using the email address or phone number on your account regarding your order, including order confirmation, packing adjustments, delivery, and payment.

5.1. Standard terms. Unless you are an approved Inner Circle member with net terms, payment is due upon receipt.

5.2. Payment methods. We accept the following: (a) Check, payable to PLAZTIGO INC; (b) Zelle, to info@plaztigo.com; (c) Credit or debit card.

5.3. No card fees. Plaztigo does not charge any credit card fee, surcharge, convenience fee, or processing fee to the Customer. The price you see is the price you pay, plus applicable taxes and any delivery fee shown at checkout.

5.4. Card authorization and charging. If you provide a payment card or use a payment link, you authorize Plaztigo and its payment processor to store your payment method and to charge it for the amounts due on your order, including any adjustments made when the order is finalized, plus applicable taxes and any delivery fee. Card payments are processed by a third party payment provider, and your use of card payments is also subject to that provider's terms.

5.5. Payment links. We may send you a secure payment link by email or text message for a specific order. These messages are transactional and relate only to your account and orders. They are not marketing messages.

5.6. Late payments. A grace period of 7 days applies from the invoice date. Any balance that remains unpaid after 7 days will accrue a Late Administrative Fee of $15.00 per week. This fee is not waived under any circumstances.

5.7. Collections. In the event of non payment, you agree to pay all costs of collection, including reasonable attorney fees and court costs.

5.8. Invoice disputes. If you believe an invoice is incorrect, you must notify us in writing at info@plaztigo.com within 2 days of the invoice date. Undisputed amounts remain due on time.

6.1. Inner Circle is an optional premium tier offered at Plaztigo's discretion and subject to approval. Benefits may include deferred payment terms of Net 7, Net 15, or Net 30, and free delivery on qualifying orders as described in Section 7.

6.2. Net terms are a credit accommodation. We may set, reduce, or revoke credit limits and terms, or require prepayment, at any time based on payment history or our assessment of credit risk.

6.3. Late payment under net terms is subject to the grace period, Late Administrative Fee, and collection provisions in Section 5, and may result in suspension or termination of Inner Circle benefits.

6.4. We may modify or discontinue the Inner Circle program or its benefits at any time.

7.1. Service area. We currently deliver only to selected zip codes within our service area in the San Francisco Bay Area. Delivery availability is determined by your delivery address and is shown at checkout. We do not deliver outside our active service area.

7.2. Delivery fees. (a) Standard (non Inner Circle) customers: a flat delivery fee of $25.00 applies to each order within our Bay Area service area. (b) Inner Circle members: free delivery on orders of $350.00 or more. Inner Circle orders below $350.00 are subject to the standard $25.00 delivery fee. The delivery fee that applies to your order is shown at checkout before you confirm.

7.3. Delivery windows. Estimated delivery dates and time windows are estimates only and are not guaranteed. We are not liable for delays caused by events outside our reasonable control.

7.4. Title and risk of loss. Title and risk of loss pass to you upon delivery to the address on your order, or upon pickup, whichever applies.

7.5. Inspection, shortages, and damage. You must inspect all products upon delivery or pickup. You must report any shortage, damage, or visible defect to info@plaztigo.com within 2 days of receipt, with reasonable supporting detail such as photos. Claims made after that period may not be honored.

8.1. Return window and restocking fee. Unopened products in original, resalable condition may be eligible for return within 7 days of delivery, subject to our approval. Approved returns are subject to a restocking fee equal to 25% of the price of the returned products.

8.2. No restocking fee for our errors. The 25% restocking fee does not apply if the product is defective, damaged on arrival, or was delivered in error by Plaztigo. In those cases we will replace the product or issue a refund or credit at our discretion.

8.3. Wrong item ordered by you. As stated in Section 4.3, if you ordered the wrong product, quantity, size, or specification, and the product is not defective and was not delivered in error, the return is subject to the 25% restocking fee, and any delivery fees are non refundable.

8.4. Non returnable items. Opened, used, custom, clearance, or special order items are not returnable except where the product is defective or was delivered in error.

8.5. How refunds are issued. Approved refunds or credits will be issued to the original payment method or as account credit, at our discretion, after we receive and inspect the returned products.

You may request cancellation of an order before it has been processed or shipped. Once an order has been processed, prepared, or dispatched for delivery, it may no longer be cancellable. We may cancel any order as described in Section 4.

10.1. By providing your email address and mobile phone number, you consent to receive transactional communications from Plaztigo relating to your account and orders, including one time passcodes, account verification, order confirmations, packing and delivery updates, invoices, and payment links. These may be sent by email, text message (SMS), and push notification.

10.2. These messages are necessary to provide the Services. Message and data rates may apply, and message frequency varies. We do not send marketing text messages without your separate consent.

10.3. You may manage push notifications in your device settings. Because one time passcodes and order communications are required to operate your account, opting out of essential transactional messages may prevent you from using the Services.

You agree not to: (a) use the Services in violation of any law or regulation; (b) submit false, misleading, or fraudulent information or orders; (c) interfere with or disrupt the Services or attempt to gain unauthorized access to any system or account; (d) use the Services to resell access, scrape data, or compete with Plaztigo; or (e) infringe the rights of Plaztigo or any third party.

The Services, including all software, text, graphics, logos, product images, and the Plaztigo name and marks, are owned by Plaztigo or its licensors and are protected by intellectual property laws. Nothing in these Terms grants you any right in our intellectual property other than the limited license in Section 2.

13.1. The Services and all products are provided "AS IS" and "AS AVAILABLE" to the fullest extent permitted by law. Except as expressly stated in a written agreement signed by Plaztigo, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non infringement.

13.2. We do not warrant that the Services will be uninterrupted, error free, or secure, or that product information is complete or accurate. You are responsible for confirming that products meet your requirements and any applicable health, safety, or regulatory standards.

14.1. To the fullest extent permitted by law, Plaztigo and its officers, directors, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of or relating to the Services, products, or these Terms, whether based in contract, tort, or any other theory, even if advised of the possibility of such damages.

14.2. To the fullest extent permitted by law, Plaztigo's total aggregate liability arising out of or relating to the Services, products, or these Terms will not exceed the amount you paid to Plaztigo for the specific order giving rise to the claim.

14.3. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

You agree to indemnify, defend, and hold harmless Plaztigo and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses, including reasonable attorney fees, arising out of or related to your use of the Services, your orders, your violation of these Terms, or your violation of any law or third party right.

16.1. These Terms are governed by the laws of the State of California, without regard to its conflict of laws rules.

16.2. Informal resolution. Before filing any claim, you agree to first contact us at info@plaztigo.com and attempt to resolve the dispute informally for at least 30 days.

16.3. Venue. Any dispute that is not resolved informally will be brought exclusively in the state or federal courts located in Alameda County, California, and you and Plaztigo consent to the personal jurisdiction of those courts.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date and, where appropriate, notify you through the Services or by email. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

We may suspend or terminate your access to the Services at any time, with or without cause or notice. Upon termination, your right to use the Services ends immediately. Sections that by their nature should survive, including payment obligations, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.

19.1. Entire agreement. These Terms, together with our Privacy Policy and any written agreement signed by Plaztigo, are the entire agreement between you and Plaztigo regarding the Services.

19.2. Severability. If any provision is held unenforceable, the remaining provisions remain in full effect.

19.3. No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.

19.4. Assignment. You may not assign these Terms without our prior written consent. We may assign them freely.

19.5. Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
